Generational Transition and Group Reorganisation
THE SUCCESSFULL CASE OF A VIRTUOUS GROUP ABLE TO TACKLE IMMEDIATE AND STRATEGIC CHALLENGES.
PHASE ONE
Creation of a new corporate structure with a holding company and a sub-holding company through demergers and equity contributions of shares.
Detailed bylaws were drawn up to manage relationships within the family and to separate business decisions from operational management. This helped to protect family and corporate assets. In addition, a managing director from outside the family was introduced to expand the management body.
PHASE TWO
Reorganisation of business functions with the centralisation of commercial and distribution activities.
This improved the efficiency of the decision-making process and sales. Changes were made to trade flows for VAT purposes and a new ERP management system was implemented. In addition, a transfer pricing ruling was submitted to the tax authorities to formalize the new business model.
